• Warranties of title or non-infringement
• Warranties that the Site will be uninterrupted, error-free, or free of viruses or other harmful components
• Warranties regarding the accuracy, reliability, or completeness of any content or information on the Site
• Warranties regarding the results that may be obtained from use of the Site or services

We do not warrant that the Site will meet your requirements or expectations, or that defects will be corrected. No advice or information, whether oral or written, obtained by you from us or through the Site shall create any warranty not expressly stated in these Terms.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE UNITED STATES LAW, IN NO EVENT SHALL JET'S PIZZA, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, exemplary, or punitive damages
• Damages for loss of profits, revenue, goodwill, data, or other intangible losses
• Damages resulting from unauthorized access to or alteration of your transmissions or data
• Damages resulting from the conduct of any third party on the Site
• Any other damages arising out of or related to your use of, or inability to use, the Site or our services

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE EXCEED THE GREATER OF: (A) THE AMOUNT PAID BY YOU TO US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

These limitations apply regardless of the legal theory on which the claim is based (contract, tort, negligence, strict liability, or otherwise), and even if we have been advised of the possibility of such damages. The foregoing limitations shall apply to the fullest extent permitted by applicable law.

11. Indemnification

You agree to defend, indemnify, and hold harmless Jet's Pizza and its respective owners, officers, directors, employees, agents, and representatives from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) that arise from or relate to:

• Your use of or access to the Site or services
• Your violation of these Terms or any applicable law or regulation
• Your violation of any rights of a third party, including intellectual property rights or privacy rights
• Any content or information you submit, post, or transmit through the Site
• Your negligence or willful misconduct
• Any fraudulent or unauthorized orders placed through your account

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate fully with us in asserting any available defenses. You agree not to settle any such matter without our prior written consent.

To the extent that any lawsuit or court proceeding is permitted under these Terms, you and Jet's Pizza agree to submit to the exclusive personal jurisdiction of the state and federal courts located in the United States for the purpose of litigating any such dispute. You hereby waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts.

Notwithstanding the foregoing, we retain the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of our intellectual property rights or other proprietary rights.

15. Dispute Resolution

15.1 Informal Resolution

Before initiating any formal dispute resolution procedure, you agree to first contact us informally to attempt to resolve any dispute. We will attempt to resolve the dispute informally within thirty (30) days of receiving your notice. If we are unable to resolve the dispute informally within that period, either party may proceed to formal dispute resolution as set forth below.

15.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Except for disputes that qualify for small claims court, and except for disputes regarding the enforcement or validity of either party's intellectual property rights, you and Jet's Pizza agree that any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Site or services shall be resolved by binding individual arbitration administered in the United States in accordance with the then-current Commercial Arbitration Rules of the American Arbitration Association (AAA).

The arbitrator shall have the authority to award any remedy that would be available in a court of law. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

15.3 Class Action Waiver

YOU AND JET'S PIZZA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Unless both you and Jet's Pizza agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

15.4 Small Claims Court

Notwithstanding the above, either party may bring an individual action in small claims court for disputes or claims within the scope of that court's jurisdiction.

16. Term and Termination

These Terms shall remain in full force and effect for as long as you use the Site or maintain an account with us. We reserve the right, in our sole and absolute discretion, to suspend or terminate your access to the Site and services at any time and for any reason, including but not limited to:

• Violation of any provision of these Terms
• Fraudulent, abusive, or illegal activity
• Non-payment of any amounts owed to us
• Conduct that we believe is harmful to us, other users, or third parties
• Requests by law enforcement or other government authorities

Upon termination, all rights and licenses granted to you under these Terms will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, indemnification, and dispute resolution provisions.

17. Changes to Terms of Service

We reserve the right to modify, update, or replace these Terms at any time, in our sole discretion. When we make material changes to these Terms, we will update the "Last Updated" date at the top of this page and, where appropriate, provide additional notice such as a prominent notification on the Site or an email to the address associated with your account.

In such case, the invalid or unenforceable provision shall be replaced with a valid and enforceable provision that most closely approximates the intent and economic effect of the original provision.

The failure of Jet's Pizza to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

19. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices published by us on the Site, constitute the entire agreement between you and Jet's Pizza concerning your use of the Site and services, and supersede all prior and contemporaneous agreements, representations, warranties, and understandings between you and us with respect to the subject matter hereof, whether written or oral.

No oral or written representation made before or after the date of these Terms by any representative of Jet's Pizza shall have any binding effect or modify these Terms, unless such modification is in writing and signed by an authorized representative of Jet's Pizza.

20. Force Majeure

Jet's Pizza shall not be liable for any delay or failure to perform any obligation under these Terms where such delay or failure results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics or public health emergencies, strikes or labor disputes, governmental actions or restrictions, interruption of telecommunications or internet services, power outages, supply chain disruptions, or any other cause beyond our reasonable control.

In the event of a force majeure event, we will make reasonable efforts to notify affected customers and resume services as promptly as practicable. Orders affected by force majeure events may be subject to cancellation with a full refund at our discretion.

We are committed to complying with all applicable federal and state consumer protection laws, including the Federal Trade Commission Act (FTC Act), which prohibits unfair or deceptive acts or practices in commerce.
